Parties

ThisLicenseAgreement(Agreement)isenteredintoasof[InsertDate],byandbetween:

[InsertFullLegalNameandAddressofLicensor],acompanyorganizedandexistingunderthelawsof[InsertJurisdiction](Licensor),and

[InsertFullLegalNameandAddressofLicensee],acompanyorganizedandexistingunderthelawsof[InsertJurisdiction](Licensee).

Definitions

ForthepurposesofthisAgreement,thefollowingtermsshallhavethemeaningssetforthbelow:

1.Affiliatemeans,withrespecttoaperson,anyotherpersonthatdirectlyorindirectlycontrols,iscontrolledby,orisundercommoncontrolwithsuchperson.

2.AgreementmeansthisLicenseAgreement,includingallexhibits,attachments,andamendmentsthereto.

3.ConfidentialInformationmeansanynon-publicinformation,whethertangibleorintangible,disclosedbyLicensortoLicenseeinwriting,orally,orbyinspectionofmaterials,thatismarkedorreasonablyunderstoodtobeconfidential,orthatshouldreasonablybeunderstoodtobeconfidentialduetoitsnature,andincludes,withoutlimitation,technicaldata,specifications,designs,know-how,tradesecrets,businessplans,customerlists,financialinformation,andotherproprietaryinformationofLicensor.ConfidentialInformationdoesnotincludeinformationthat:(a)isorbecomespubliclyknownwithoutbreachofthisAgreement;(b)isindependentlydevelopedbyLicenseewithoutaccesstooruseofLicensorsConfidentialInformation;or(c)isobtainedfromathirdpartywithoutbreachofsuchthirdpartysobligationsofconfidentiality.

4.EffectiveDatemeansthedatefirstsetforthabove.

5.IntellectualPropertyRightsmeansallrights,title,andinterestinandtoanypatent,patentapplication,copyright,trademark,tradesecret,know-how,andotherintellectualpropertyorproprietaryrights,whetherexistingorarisinghereafter,throughouttheworld,inanyjurisdiction,relatingtotheTe
