China, 310027 摘 要:混合组织是一种新型的组织模式,它包括从松散的企业集群到准一体化的伙伴关系。加油站经营是连锁零售经营的一种,零售商需投入不菲的专用性资产。据经典的新制度经济学的理论,加油站经营中的上下游企业(供应商与连锁店)之间非常有激励一体化。但近年来加油站连锁经营越来越多地出现某种程度的去一体化趋势,诞生了介于市场和企业中间的混合组织模式,它们以企业内和企业间以关系型合约来代替企业和市场。本文通过对采用此类混合组织模式的E公司广东加油站进行案例研究,比较不同组织形式的特征和治理绩效,剖析混合组织的治理方式和作用,证明混合治理在特定条件下发挥了资源配置的优势,减少了交易成本,更好地解决了激励问题和控制问题。 关键词:激励,混合治理,关系型合约,博弈 Abstract: Hybrid Organizations are a series of new modes of organization, from networks of firms with loosed relationship to quasi-integrated partnership. The operation of gas station is a typical type of franchising business, in which the partner joined the franchised network need to invest huge business-specific assets. From the perspectives of the classic New Institutional Economics, there is huge incentive to be integrated by the upstream and downstream (supplier and retailers). But the observation to the business of gas station found there is a trend of de-integration which hard to explain by classic theory. The gas station business with a mode of mixed firm and market show higher efficiency than the traditional models, which the tradition relationship of firm and market is replaced by contractual relationship. The study is a case study of a gas station business of E company in Guangdong province that adopted hybrid organization model, we study its characteristics and governance efficiency to understand how the hybrid organization operates. The case study shows the hybrid organization under specific circumstances and conditions will maximize the efficiency of resources allocation and reduce the transaction costs and provide a better-balance
