摘 要:上市公司并购（兼并与收购）对中国经济发展产生的影响越来越重要，研究我国上市公司的 并购行为，有助于建立和完善中国的上市公司并购市场，也有利于中国经济的发展。本文主要运用 统计分析法对我国上市公司并购进行研究。全文共分为四个部分：首先，对上市公司并购中的概念、 内涵进行了简要的描述，并对我国上市公司并购的方式、动机、风险进行了简要分析；其次，回顾 了国内外上市公司并购所经历的几个阶段，分析了我国上市公司并购的现状及新的趋势；再次，总 结性地点评了我国上市公司并购中存在的具体问题，并分析了产生这些问题的深层原因；最后，本 文进一步探讨规范我国上市公司并购行为的对策。 【关键词】 上市公司, 并购, 买壳上市 Abstract: The influences to Chinese economic development is more and more important that are caused by the listed company MA(merger and acquisition). Studying the MA behavior of the listed company of our country is helpful to contribute to set up and perfect MA market of the listed company of China , and favorable to the development of Chinas economy. This paper studies MA of listed company by statistical method and analytic approach mainly. The full paper can be divided into four parts: First of all, the paper describes the concepts simply, and carries on brief analysis to way, motive, risk that may be caused by MA of the listed company of our country; Then, it reviews several stages that the domestic and international listed company experienced, and analyzes the current situation and new trend of the MA of the listed company of our country; Moreover, this paper comments on the concrete problems during the MA of the listed company of our country ,and analyzes the deep reasons which produce these questions; At last, the paper probes into the countermeasures that standard the behavior of MA of the listed companies of our country. 【Keywords 】Listed company, MA, MA to listing on board 我国上市公司并购现状分析与评价 我国上市公司并购现状分析与评价 引 言 上市公司并购形成了我国证券市场上一道亮丽的风景线，并引起了各方的关注。经济学界在对 并购问题进行探讨、研究的基础上，已形成了初步的并购理论，对我国上市公司并购的实践具有一 定的指导意义。上市公司并购在我国已有近 10年的历史，对我国经济产生了积极的影响，但并购行 为本身仍存在许多问题，如并购的成功率不高、以“圈钱”为目的进行“报表并购”、关联交易较多、 炒作性较强等。这些问题的存在有着一定的深层次的原因，体现在企业并购动机不规范、政府的过
