中文摘要 城中村是快速推进城市化进程中出现的一种新的城市化问题。由于城中村的 管理体制与城市社区管理体制的不适应，综合管理的不当，再加之利益的驱动， 导致城中村的规划、建设、管理长期处于混乱无序和低水平状态。随着经济的发 展和人们生活水平的提高，城中村问题日益突出，它严重影响到全面建设小康社 会奋斗目标的实现，严重影响到城市综合竞争力的提升、城市功能的发挥和城市 现代化的推进。因此，对城中村实行改造是社会发展的必然，改造势在必行。本 课题将城中村公司的外部治理结构和内部治理结构来进行分析、研究，并提出相 关的对策，能为国家立法机关制定有关城中村改造法规提供理论参照，能为国家 行政机关制定相关政策提供理论依据和可行性论证。 [关键词]城中村；内部治理结构；社区；股份有限公司；完善 I Abstract Urban-village is a kind of new urbanism problem. Due to all kinds of the process appears disproportion and the problems of Urban-village have arisen in many cities in varying degrees. Urban-village is the areas where it was coral area but when the city expands, the land was taken over for city use and there is no the farming fields left. Because city community management system and management system of village do not fit the plan, construction and management of village in the city are in disorderly and low horizontal state for a long period. Along with the economic development and the raising of peoples living standard, the problems of urban village are stressed increasingly, which are seriously affecting the urban economy and development, so it is necessity to carry out transformation for the village in the city. This article will analyze villages in the citys external management structure and internal governance structure and propose relevant measures. I hope that this article can provide theoretical reference for the State legislature and the State administrative organs.
