产权式商铺售后返租模式的法律分析.pdf

摘 要 在我国，产权式商铺于2000 年以后开始出现在少数经济较为发达的城市，近年来，逐 步向二三线城市扩张。虽然在产权式商铺出现的初期经历了政府的严厉禁止，但从国家对 房地产调控以来，住宅性商品房投资已受到了极大的限制，导致投资性购房者纷纷将投资 的目光投向了商业地产，这使得进入投资门槛相对较低的产权式商铺又重新活跃了起来， 并且受到了广大购房者的追捧。虽然这种模式的优势较为突出，但相应的投资风险与法律 风险也较大，而且我国现行法律对产权式商铺售后返租模式也无完善的规定，政府也未对 返租协议制定统一的指导性范本，因运作不善而造成的烂尾楼、不良资产等情况也并不鲜 见。 本文正是基于此，笔者在研究和写作的过程中，通过资料分析汇总、实务考察、范本 评析、对比研究等方法，从法律分析的角度较为系统的论证了产权式商铺售后返租模式： 在对产权式商铺售后返租模式进行概括性介绍的基础上，分析这种模式的合法性与合理 性，通过对返租协议范本的评析，进一步从房地产开发企业、经营公司、购房者、贷款银 行、政府部门五个方面分析这种模式存在的法律风险，并分别提出相应的规避与控制建议， 从而尝试寻求一条产权式商铺售后返租模式的可行性路径。 关键字：产权式商铺 售后返租 法律风险 可行性路径 I Abstract In China, property type shops began to appear in 2000 after a few more economically developed cities in recent years, and gradually expand to the second and third tier cities. Although the initial property type shops appeared in the experience of the governments strict forbidden , but since the national regulation of real estate , residential real estate investment properties has been extremely limited , leading investing buyer will look to invest in commercial real estate investments , which makes relatively low investment threshold to enter the property type active up shop again , and sought after by the majority of investors . While the advantages of this model is more prominent, but the corresponding investment risk and legal risk is larger, but the existing laws on property rights of sale and leaseback model shops no sound provisions, the government has not developed a unified agreement on leaseback mode case guidance template on schedule thus causing bad assets are not uncommon.
