SUPPLY AGREEMENT 协议 Agreement (hereinafter referred to as “the Agreement”) concluded in Jieyang, China on?______ 2012 between: GTV Sp. z o.o. sp.k. – a registered partnership with its registered office in Pruszkow, in Poland (Przejazdowa 21 St.) (hereinafter referred to as “GTV” or “Buyer” ) 买方 and _______________________________________________________________________________ _______________________________________________________________________________ _______________________________________________________________________________ (hereinafter referred to as “Supplier” or “Seller” ) 卖方 § 1 Purchase and Sale Obligations 购买和出售义务 Subject to the terms and conditions of the Agreement, Supplier agrees to manufacture and sell goods to GTV in requested technical condition, quality, packing way, delivery dates and GTV agrees to purchase, the products specified in every following order signed and confirmed by two parties. 根据协议的条款，供应商同意按要求的技术参数、质量、包装方式和交货日期生产和销售货物给GTV。产品明细如每份由双方签名确定的订单里所指定。 The purchase price for the Products sold under the Agreement is determined in document referred to as “Pro-forma invoice” or “Sales contract” issued under every order placed by GTV. Each document has to include following details: 产品采购价由根据GTV订单所制作的形式发票或销售合同所决定。形式发票或销售合同包括以下内容： Sellers full address with contact details to authorized company worker; 卖方地址，联系方式及负责人 Buyer full address with contact details to authorized company worker; 买方地址，联系方式及负责人 Ordered product list with specified: unit price, quantity, color, Seller product code, Buyer product code, Buyer bar code, total amount, packing details, number of cartons, , goods volume, shipping document number, payment terms, delivery conditions, penalties arising from production delay, packing mistakes or goods destroyed during transportation, attachments as technical drawings if needed. 产品清单明细：单价，数量，颜色，卖方产品编号，买方产品编号，买方条形码，总金额，包装明细，箱数，产品体积，船务文件编号，付款方式，交货条件，因推迟交货、包装错误或产品运输途中损坏等的处罚，孔位图等。 List of the Products and purchase price for the Product
