Article 1 Explanations of relevant terms 保密资料：1）为协议双方约定目的或涉及约定目的所在领域由披露方向获取方提供的一切装置、图表、书面资料、源程序、数据或者其它以各种有形载体记录的资料；2)其它通过口头或视觉披露 且在披露时经披露方明示该资料为保密的 并在通过口头或视觉披露后三十日内（包括30日）以有形载体记录、标明“保密”字样并交于获取方的，则也认定为该资料是保密资料。 Cofidential information shall mean 1)all equipments,charts,written materials,source programs,data or other materials which saved by visible carriers,2)other materials which had been disclosed in oral or visible form,and the disclosing party had noticed that this material is confidential when it had been disclosed, and after it’s oral or visible disclosure this material had been saved in visible form,marked by ‘cofidential’,given to receiving party within 30days(including 30days). 保密期限：经协议双方协商，约定获取方在该期限内不得向任何第三方透露其所获取的对方的保密资料，且不得将获取的保密资料用于协议双方约定目的以外的任何目的。 披露方：应指在基于本协议目的披露保密资料的一方。Disclosing party means the party which disclose confidential information based on the purpose of this agreement. 获取方：应指在基于本协议目的获取保密资料的一方。Receiving party means the party which receive confidential information based on the purpose of this agreement. 本协议中的协议一方或协议另一方基于本协议既可能是披露方，也可能是获取方。The two parties in this agreement can be the disclosing party or the receiving party based on this agreement. 第二条 保密期限 本协议项下保密资料的保密期限为自本协议签订生效之日起10年。The period under this agreement shall be 10years from the date of this agreement to be signed. 第三条 保密资料的范围 本协议中保密资料涉及到的范围是：协议双方在合作过程中相互披露
