摘 要 产业资本与金融资本的融合是市场经济发展到一定阶段的产物，在欧美发达 的资本主义国家，大型企业集团通过产业资本与金融资本融合发展已有一百多年 的历史，并形成了一些比较成熟的发展模式。国有企业为确保我国国民经济持续、 快速、健康发展，发挥着重大作用，在国民经济的关键领域和重要行业中处于支 配地位，是我国国民经济的支柱。如何学习、借鉴成熟的产融结合模式，进一步 优化国有资本的配置，提升国有企业的市场竞争力，建立国有企业可持续发展能 力，是国有企业特别是大型国有企业不能不认真思考的问题。 本文采取理论与实践相结合的研究方法。在理论研究方面，对国内外产融结 合理论进行了梳理分析；在实践方面，分析了国内外典型的产融结合案例。本文 以天津渤海国有资产经营管理有限公司为例，在研究国内外企业产融结合典型模 式的基础上，结合公司的特点、所处的战略环境、战略定位及战略目标，创新性 的提出了公司实施产融结合的模式，即“亦产亦融，双管齐下”。然后根据该模 式给出了具体实施路径。 关键词：产业资本 金融资本 产融结合 国有企业 ABSTRACT The combination of industrial capital and financial capital is a requisite at certain stage of market economy. In the developed countries such as Europe and America， large enterprise groups has more than one hundred years history of expanding by combination of industrial capital and financial capital， and formed some relatively mature development patterns. State-owned enterprises are the pillar of the national economy and dominant in the key industries of the national economy. They play a significant role in maintaining a sustainable， rapid and healthy development of national economy. Nowadays ， State-owned enterprises are facing a requirement of reform and development. As a result ， it is a key point that the state-owned enterprises， especially large state-owned companies have to consider how to learn and draw some lessons from the mature model of combination of industry capital and finance capital，further optimize the state-owned assets allocation，improve the market competitiveness， and establish the ability of sustainable development.
