本科毕业论文（设计）模板 毕业论文(设计) 论文题目： 跨国并购中的文化风险 学生姓名： 全泉 ） 学 号： 0901110229 ） 专 业： 国际经济与贸易 ） 班 级： 0902班 ） 指导教师： 殷红霞 ） 完成日期：2013 年 05 月 10 日  跨国并购中的文化风险 内 容 摘 要 在19世纪末到21世纪初的百余年间，全球经历了五次明显的并购浪潮，自五次并购浪潮以来，并购作为企业获取业绩高成长的方式已是不争的事实。然而，在这些轰轰烈烈的并购中，很多企业并没有获得业绩上的增长，相反却出现了业绩下滑的现象。并购的“七七定律”揭示，在导致并购失败的原因中，有 70%的原因是由于并购整合的失败造成的，而导致并购整合失败原因中有 70%的是由于文化整合的失败造成的。由此可知企业并购失败的最主要原因是文化因素。在跨国并购的过程中，文化风险日益成为跨国企业决策以及管理的重要因素而备受关注。为了减少和避免跨国并购失败，对跨国并购中的文化风险评价研究成为一种必要。本文在总结中西方并购研究和文化理论研究的基础上，通过对TCL并购阿尔卡特和吉利并购沃尔沃的跨国并购案例中文化差异的对比和分析研究，旨在说明文化差异对企业跨国并购产生的重大影响，揭示出进行跨国文化风险管理的重要性和迫切性。 关键词： 跨国并购 TCL 吉利集团 文化风险  The Cultural Risk of Cross-Border M A （Merger and Acquisitions） From the 19th century to 20th century,the world has experienced five significant Cross-border Merger Acquisition waves,It is a fact that,since the five times of MA waves,some enterprises gets a good performance by MA. However,there are lots of enterprises doesnt get a good performance in MA,on the contrary,their performances declines. The laws of MA reveals that 70% was due to the failure of the integration of the merge,which 70% was due to the failure of culture integration in the cause of failure in mergers and acquisitions. Therefore,culture is one of the most important causes.The cultural risk has been the significant variable in the decision-making and daily management of transnational corporations in the process of Cross-border MA.So it is very necessary for the companies to research the cultural risk of Cross-border MA and find the way to avoid it.This study is to focus on the cross-border merger of TCL and Alcatel,Geely Group and AB Volvo,give an analysis on the influence of cultural differences,aiming at demonstrating the main influence on cross-border MA caused by Chinese and westen cultures,emphasizing the significance and urgency to carry on the cross-border cultural risk.
