自主性治理：公司治理制度演进的新趋势 ——基于博弈均衡制度观的分析视角* 马连福 陈德球 （南开大学商学院/公司治理研究中心，天津，300071） 摘要：博弈论分析制度问题的经济学理论给我们提供了研究公司治理问题的新视角。本文以博弈均衡的制度观作为分析公司治理制度演进的一个框架，以制度变迁理论作为分析问题的前提，运用历史的方法与逻辑的方法，从公司治理制度的实施层面，考察公司治理制度的演进过程，进而阐述未来公司治理改革的方向。公司治理的制度作为上市公司组织域内投资者、经理和工人等利益相关者之间的相互博弈的一个内生的自我实施规则，在经济全球化外生博弈规则的诱发性制度冲击和公司内部公司治理创新内生博弈规则不均衡累计相互作用下发生制度变迁，其变迁路径是从萌芽的自发性到国家层面法律的强制治理再到公司层面的自主治理螺旋式演进，演进机理是应对外部市场带来的潜在获利机会和降低公司组织内参与人的不确定性预期，最大程度地保护投资者利益，降低交易成本，提高公司价值。 Abstract Game theory which analyze institutions provide a new visual angle for us in the research of corporate governance. With the institutional view of game equilibrium as a framework for analyzing corporate governance institution change, and with institutional change theory as the premise for problem analysis, this paper put forward a new explanation for evolutionary process of corporate governance institution from implement.
