内容摘要 　　　随着经济的发展以及改革开放的深入，越来越多的中小企业创立并崛起。在市场经济体制的条件下，企业从创立开始，始终遵循着发展、鼎盛然后逐渐走向衰败的规律。所以，若想避免这样的客观规律，企业的重组与并购尤为重要。企业的重组和并购的过程中包含了企业的资源整合，增强了企业的竞争能力并且为企业注入新的活力，避免了原企业发展过程中可能遭遇的衰败。本文对企业重组与并购下的资源整合进行了研究，介绍了重组与并购的理论、动因、优势、过程中存在的问题以及通过对这些问题的分析给予的相关对策，最后预测其前景。深入了解企业的重组和并购下的资源整合，才能更好地运用此对策，为企业的持续发展储备后劲。 关键字：资源整合；企业重组；并购；决策 Abstract With the development of economy and the deepening of the reform and opening up, more and more small and medium-sized enterprises are founded and rise. Under the condition of market economy system, enterprise always follow the law of development, golden and gradually decline since founded. So, if you want to avoid the objective law, the reorganization and merger of enterprises are particularly important. The process of restructuring and merger contains the resources integration, and it can enhance the enterprise’s competitive ability and inject new vitality for the business enterprise. Then the enterprise can avoid the decline what it may experience in old developing way. In this paper, I studied the resources integration in restructuring and merger, and introduces the theories about the restructuring and merger, including the motivation, advantages, problems and related countermeasures based on the analysis of these problems. Finally I predicted it’s prospects. So, In order to use of the theory better and reserve more power for the development of enterprises, we’d better have a further study about the resource integration of enterprise’s restructuring and merger.
