The author mainly discusses in the M A of foreign capital the setting-up of administrative authorities in charge of anti-monopoly control, the procedure of its application, hearing and national security examination. Among which, the research on the relation between the approval of Commission of the State-owned Assets Supervision and Administration and the examination of law-enforcement authorities of anti-monopoly highlights the procedural feature of M A of foreign capital on state-owned enterprises. The fourth chapter is the discussion on the positive regulations of M A of foreign capital on state-owned enterprises. The author discusses the policy orientation and restriction principles of major western countries on the monopoly restriction in the transnational M A, compares the substantial components and analyses methods in monopolistic M A and proposes the regulations that can be used for reference by China. In the fifth chapter, the author specially discusses anti-trust law exemption in the M A of foreign capital on state-owned enterprises. The author summarizes the provisions of western countries on business owners ’ anti-trust law exemption. And then, considering the actual situation in our country, the author analyzes the cases where anti-trust law exemption should be applied when the target enterprises of M A are state-owned enterprises in particular, which is the innovative part of this thesis.
