前 言
十一届三中全会以来，整个中国的市场化进程不断加快，民营企业的管理
方式、市场半径、资源组合发生着深刻的变化 。近 20年来，一个初步的市场
化经济构架业己形成，民营企业经历了从非法到适度合法、到有益的补充、到
重要组成部分的变化，这些变化都导致了民营企业治理结构的发展变化，尤其
内部治理结构的变化更是 日新月异 。
在我 国现阶段，民营企业的数量比较多，规模也在不断扩大，但 民营企业
成功的数目还很有限，特别是民营企业公司治理结构的指导理论还很少，我国
民营企业公司治理还处于一个摸着石头过河的状态 。
本文主要对民营企业治理中的内部治理结构问题进行分析与思考。本文将
治理的含义界定为:一组规范企业相关各方的责、权、利的制度安排，是管理
