内 容 摘 要 公司被吊销营业执照即被宣告解散，虽然其法人主体资格尚存，但仍应当在法定期 限内组织清算，如果因公司未及时清算或者怠于清算以致于无法清算，使债权人的债权 不获清偿的，依据《中华人民共和国公司法》 （以下简称《公司法》）第20 条第3 款、 第184 条和《最高人民法院关于适用〈中华人民共和国公司法〉若干问题的规定（二）》 （以下简称《公司法解释二》）第18 条第2 款的规定，清算义务人和公司应当承担连 带清偿责任。其中，有限责任公司的非控股股东、消极股东不能因其没有控制公司、未 实际参与公司的经营管理而免除或者减轻其法定清算义务。本文以最高人民法院发布的 第三批指导案例中存亮公司诉蒋某、王某买卖合同纠纷一案的争论为基础，结合《公司 法解释二》的规定，针对清算义务人的连带清偿责任展开讨论。 关键词：公司清算；清算义务人；法定清算义务；连带清偿责任 Abstract When the business license of company has been revoked, it shall be dissolved.Although its qualification of legal entity is existed, the company still shall organize a liquidation within the statutory time limit. According to the Company Law of the Peoples Republic of China and Provisions of the Supreme Peoples Court about Several Issues Certain Concerning the Application of the Company Law of the Peoples Republic of China (II), if the company lost the basis to liquidate that the creditors rights could not be liquidated, the liquidation obligor and the company shall bear joint and several liability.In the limited liability company , although there are shareholders that are non control of the company or not the actual participation in the management of the company , but they can’t exempt or mitigate their statutory obligations of liquidation because of they are the non controlling shareholders and inactive shareholders. In this paper, According to the guiding cases issued by the Supreme Peoples Court of the third batch about Cunliang Co. v. Jiang Mou, Wang Mou sale contract dispute case ,combined with the Provisions of the Supreme Peoples Court about Several Issues Certain Concerning the Application of the Company Law of the Peoples Republic of China (II), arguing within the liquidation of obligations of the joint and several liability.
