SAMPLE CONSULTING AGREEMENT This Consulting Agreement (this “Agreement”) is entered into by and between ABC Nonprofit, a Texas nonprofit corporation (the “Client”) with a principal place of business at (list address), and Texas Independent Consultant (the “Consultant”) with a principal place of business at (list address). Services to be Performed: Consultant agrees to perform the following services for Client: (list all services) Terms and Conditions: (1) Materials and information requested by the Consultant will be provided by the Client in a timely manner. (2) Regular discussions will be held between the Consultant and Client on the progress of the project. Payment: In consideration for the services to be performed, Client agrees to pay Consultant a total of (amount)for stated services, for the period beginning(date), and ending(date), unless the terms of the Agreement are modified by writing signed by each of Client and Consultant or this Agreement is terminated. Terms of Payment: (Modify as Appropriate) Client shall pay Consultant (amount) within 10 days from the effective date of the agreement. Client shall pay Consultant the balance of (amount) within 30 days from the successful completion of the Agreement. Expenses: Consultant shall be responsible for all expenses incurred while performing services under this Agreement. Effective Date of this Agreement: This agreement shall become effective when signed by both parties. Termination of this Agreement: With reasonable cause, either party may terminate this Agreement at any time by giving 30 days written notice of termination to the other party at the address for such party detailed herein. Reasonable cause shall include a material violation of this Agreement, the Consultant’s inability to provide contracted services due to circumstances beyond the Consultant’s reasonable control, or nonpayment of Consultant’s compensation after 30 days written demand for payment.
