CHINA AUTOMATION GROUP LIMITED (incorporated in the Cayman Islands with limited liability) (Stock Code: 569) CONNECTED TRANSACTION ACQUISITION OF THE REMAINING 5% EQUITY INTEREST IN BEIJING CONSEN TRANSPORTATION TECHNOLOGY COMPANY LIMITED On 21 May 2009, the Group, through Beijing Consen, entered into the SP Agreement with Mr. Yang for the sale and purchase of the remaining 5% equity interest in Beijing Transportation. Since (i) Beijing Transportation is a subsidiary owned as to 95% by Beijing Consen; and (ii) Mr. Yang is a director of Beijing Transportation, the Acquisition constitutes a connected transaction of the Company under Chapter 14A of the Listing Rules. As the relevant percentage ratios for the Acquisition calculated pursuant to Rule 14.07 of the Listing Rules exceed 0.1% but are less than 2.5%, the Acquisition is subject to the announcement and reporting requirement but exempted from the shareholders’ approval requirement under the Listing Rules.
