毕业设计（论文） A上市公司治理结构与股东行为研究 院 （系） 工商管理学院 专业班级 学生姓名 学号 指导教师 职称 评阅教师 职称 摘 要 随着资本全球化进程的日益深入，人们开始日益关注上市公司的治理结构和股东行为，上市公司的治理结构和股东行为也是我国证券市场的核心问题之一。作为世界上最年轻的证券市场之一，我国的证券市场还存在众多问题，相关的法律法规还不够完善，市场监管力度还不够强大，很多上市公司的治理结构和股东行为存在很多不规范的现象，有不少大股东通过各种手段来侵害中小股东和企业的正当权益。这种情况不仅仅损害了上市公司和众多中小股东的合法权益，还阻碍了我国证券市场的健康和可持续发展，因此必须通过完善上市公司的治理结构，规范股东的行为，扼制大股东的不良行为来保护中小股东和上市公司的合法权益。因此对上市公司治理结构下不同股东的行为展开研究，具有重要的现实意义。基于此，本文在对上市公司治理结构和股东行为相关理论进行阐述的基础上，分析了A上市公司治理结构和股东行为的现状，并针对其存在的问题提出改进对策，以期促进我国上市公司的健康和可持续发展。 关键词：上市公司 治理结构 股东行为 对策 Abstract With the global process of capital, how to improve and enhance competence of corporate governance has become hot topic.Governance structure and behavior of shareholders in listed companies has also become one of the core issue of Chinas securities market. As the youngest one of the securities market in the world, there were still many problems in Chinas securities market. The market was still not perfect relevant laws and regulations, and the market supervision was not strong enough. There were many non-standard phenomena of the governance structure of many listed companies and shareholders. Many large shareholders used a variety of means to infringe the legitimate rights and interests of minority shareholders and corporate. It is important to study the behavior of the different shareholders in the governance structure of listed companies. Based on this, this paper described the governance structure and related theories of the behavior of shareholders of listed companies, analyzed the problems of governance structure and behavior of shareholders of A listed companies.
