AGREEMENT FOR PURCHASE AND SALE OF UNIMPROVED LAND THIS AGREEMENT FOR PURCHASE AND SALE OF UNIMPROVED LAND (the “Agreement”) is made and entered into as of the Effective Date (hereinafter defined) by and between a (“Seller”), and , a , and/or assigns (“Purchaser”). For and in consideration of the mutual covenants and agreements contained in this Agreement and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, Purchaser and Seller hereby agree as follows: Purchase and Sale. Upon and subject to the terms of this Agreement, Seller shall sell to Purchaser and Purchaser shall purchase from Seller that certain approximate acre tract of land situated in the City of (the “City”), County (the “County”), shown on Exhibit A attached hereto and made a part hereof, together with all and singular the rights and appurtenances pertaining thereto including any right, title and interest of Seller in and to adjacent roads, alleys or rights-of-way, strips or gores of land adjoining the land and abutting properties and rights of ingress or egress and any and all improvements situated on the land, including but not limited to any buildings, structures, fixtures and other improvements of every kind and nature in, on, under or about the land (such land, rights, appurtenances and improvements being herein referred to as the “Property”). Purchase Price. The consideration (the “Purchase Price”) for the sale and conveyance of the Property shall be dollars ($ ), payable in cash at Closing. The Purchase Price shall be adjusted based on the Survey described in Section 3(a). The Purchase Price is calculated on the basis of $ per square foot of [insert Net Area/Total Area].
