论我国公司独立人格制度的完善 法学专业学生 朱晨明 指导教师 尹雪英 摘要：公司人格独立理论是公司制度存在与运行的基础，公司独立人格是现代法律文明所作的一种具体体现，但是公司独立人格是一把双刃剑，其在给公司股东分担和限制风险的同时，也为股东滥用公司独立人格，牟取不正当利益提供了可乘之机，同时为逃避债务者打开了方便之门。我国公司法为了规制滥用公司独立人格的现象，推行了法人人格否认制度即“揭开公司面纱制度”，但由于现实生活中公司独立人格的判断标准不一，致使这一制度难以推行。本文从这一问题出发，通过各种判断标准的分析，提出以独立财产和独立意思为基本判断要素，其中独立意思为本质要素。以此来判断公司人格是否独立，进而准确谨慎的适用法人人格否认制度，规制滥用公司独立人格现象，促进公司良性发展，促进经济发展。 关键词：人格独立；判断标准；滥用人格独立；独立财产；独立意思 Analysis on Improvements of System of Our Country’s Company Independence Personality Student majoring in Law ZHU Chenming Tutor YIN Xueying Abstract： The company personality’s independent theory is the foundation that the company system exists and operates. The company independent personality is a concrete represent of the modern civilization of the law. However, the company independent personality has its two sides. When it shares and limits the risk for the company shareholders, it also offers the chance that the shareholder abuses the company independent personality and seeks the improper benefits, at the same time it paves the way for those escaping debtors. To avoid the phenomenon abusing the company independent personality, the Chinese Company Law implements a denying system of the corporate personality that is “The system of unveiling the corporate veil.” But because the criteria standards of the company independent personality are different from the ones in the real life, this system becomes difficult to carry out. Through many analyses of criteria standards, this paper starts from this issues and introduces that the independent property and the independent judgment should be the basic elements of the judgment in which the independent judgment is the essential element. We judge the company personality is independent or not by it, thereby implement the denying system of the corporate personality, constitute the phenomenon abusing the company independent personality, and promote the corporate benign development and the economic development.
