母子公司治理结构若干问题研究 摘 要 本文从法理学和经济学方向就公司法人治理结构做出了系统而细致的探讨。提出了公司内部分权制衡的不足和公司内部和母子公司之间的治理的主要问题。提出了集团公司在现实操作中的中小股东保护问题，董事会的功能性问题，母子公司利益关系问题，并对其作了详细的阐述和分析。提出了以弱化股东会权利，强化监事机构权利范围和独立性的解决办法。并创造性的将独立董事与各辅助机构挂钩，在进一步提升了各辅助机构在公司内部的话语权的同时也使其不能直接左右公司的决策，以此来使公司的发展能够听取更多专家的意见而平稳快速发展。 关键词：母子公司，法人治理，监事会，独立董事 Number of Issues on Parent-Subsidiary Governance Structure Abstract: This article has made a systematic and detailed discussion on the corporate governance structure from the jurisprudence and economics direction. There are the main problems of governance between the internal lack of separation of powers within the company and parent companies and subsidiaries. Group companies in actual operation the minority shareholders protection issues, the function of the Board, the interests of the parent-subsidiary relationship, and detailed exposition and analysis. Proposed solution to the weakening of the rights of shareholders, and strengthen the scope and independence of the rights of institutions like board of supervisors. And creatively link the independent directors to the supporting institutions, to improve the auxiliary bodies within the companys right to speak, at the same time it cannot be directly about the companys decision-making, in order to make the companys development steady and rapidly because the more opinions of experts.
