AbstractAlong with China’s socialist market economy growing more and more maturity, the family business has been rapidly developed and has made outstanding contributions to China’s economic development. The family business develops rapidly, and at the same time, exposed many problems worthy of our in-depth researching and thinking. With the expansion of business scale, the mode which is built in the set-up stage is no longer suitable for the development of enterprises. At this time, reforming of family enterprise becomes particularly important, which is also a common problem for a number of family enterprises.This paper chooses the YC CO., Ltd in Wuhan, Hubei as the case, to explore how to build a healthy corporate governance mode for family business.In the theoretical part, first of all, the paper reviews the concept and definition of the family business, make a detailed introduction about divided forms, features, advantages and disadvantages. Secondly, the paper does a comparative analysis of several types of family business’s corporate governance. And make a presentation and comparison of several common foreign family business’s corporate governance modes. hope that can give some theoretical support for case studies.In the case part, YC family enterprise established in Dec. 2000. Through the investigation and research, this paper found that even though YC’s current operate is well-developed, the governance mode still has a lot of problems. For example, the property rights structure is irrational; “family” and “business” are mixed in business or financial part; parents centralized decision-making lead to a very high risks; an unreasonable use of the external manager market and so on. This paper makes a deep study about why these problems exists, and discuss how the family enterprises to build a reasonable, appropriate internal governance mechanisms for maintaining the company’s long-term and healthy development.Keywords:Family business,Corporate governance,Governa
