AbstractLabor-Capitalrelationshipreferstothesocialandeconomicrelationsformedby thecapitalownersandworkersinthelaborprocessforthepurposeofachievingtheir economicinterests.Labor-capitalrelationshipmanifeststheformofconflictor cooperationorothercombinationsbetweenthetwoextremeforms.Atpresent,the conflictandconfrontationoflaborandcapitalinourcountryenterpriseisgradually increasing,theacrimoniouslabor-capitalrelationshipdirectlyaffectsthenormal productionandoperationactivitiesofenterprise.Thispaperselectstheresearchfor theinstitutionofcooperationbetweenlaborandcapitalfromtheperspectiveof enterprise propertyrightsinstitution change.Thispaperarguesthatthenatureofenterprisehasbecomeanorganic combinationwithhumantransitedfromthegatherofmaterialcapital,laborerplays moreimportantroleinthedevelopmentoftheenterprise.Inthecurrententerprise propertyrightinstitution,capitalownersenjoyresidualclaimsoftheenterprise,and laborersonlygetwages.Thisinstitutionseverelyreducestheenthusiasmoflaborer, and causes inequalityofstatus betweenthe laborand capital. Theunequal statusand capitalowners’monopolyofthesurplusvaluecauseconflictsandconfrontationof labor-capitalrelationshipintheinternalenterprise.Therefore,inordertochangethe conflictstatusoflabor-capitalrelationship,ithastochangethepropertyright institution of enterprise.Thepropertyrightsinstitution aredivided into two dimensions,oneof which is arightarrangementintheprocess ofcooperation betweentheenterpriseproductionand creation,anditreflectstheinstitutionalarrangementintheoperationand management ofenterprise.Thesecondoneistheinstitutionalarrangementsoftheallocationofthe netcooperationsurplusofcompany.Throughstructuringlabor-capitalgamemodel, thepaperhasconcludedthatachievingcooperationbetweenlaborandcapitalinthe innerofenterprisesmustmeettheflowingtwoprinciples:thefirstoneisequality principle,andthesecondoneistheprincipleofmaximizinglong-termreturn.The twoprinciplescorrespondtothetwodimensionsoftheenterprise’spropertyrights institution.Th
