内容摘要债务融资是企业外源性融资的重要渠道，而银行贷款则是上市公司债务融资 最重要的筹资方式。但是由于代理成本的存在,企业债务融资面临着融资约束。 在现实交易中，我国商业银行贷款决策时比较关注借款企业的财务指标,尤其关 注民营企业的财务指标。作为新兴的内部辅助治理机制，内部控制能够为企业的 财务信息的真实有效提供保障。随着内部控制的基本规范和应用指引的出台，以 及2012年上市公司实现全面实施内控和发布内控自评报告的要求，内部控制俨然 已成为学术界和实战界的关注焦点。一直以来，我国政府对银行业保持着强有力 的监管和干预，而随着改革步伐的加快和市场化的不断推进，商业银行的行业操 作也会逐渐公开明朗化，依照市场规律行事。内部控制能否促进企业与银行之间 的互利合作，是商业银行和上市公司都必须面对的一个现实问题，也是本文研究 的主要课题。本文采用我国房地产经营与开发类上市的461家公司作为研究对象，以公司 2008年至2012年的实际数据，在国内外已有的相关研究成果的基础上，综合运用 实证研究与规范研究相结合的方法，将五大要素共同构成的内部控制对银行债务 契约的三个方面分别展开分析，并针对不同产权背景下的内部控制对银行债务契 约的影响进行了新的探索。本文通过实证研究发现，企业的内部控制能够对企业签订的银行债务契约起 到积极正面的推动作用。即企业内部控制的信息披露水平越高，企业所能获得的 银行贷款越多，所需付出的债务融资成本越低，所需的贷款期限越长。考虑到预 算软约束和政治背景的存在，以上结论在国有样本中表现的相对较不明显。基于以上结论，本文建议，上市公司应该进一步完善内部控制各方面的建设, 以缓解债务融资约束；相关立法部门应当加强对内控信息披露的规定，并对存在 内控缺陷的上市公司制定相应的惩罚措施；监管部门更应该加大国有上市公司和 国有商业银行的市场化改革力度，保证非国有企业享受同等的信贷待遇，让债务 契约按照市场规律安全、高效运行。关键词：内部控制；内部控制信息披露；银行债务契约；融资约束AbstractDebt financing is an important channel for enterprises exogenous financing, bank loans and debt financing of listed companies the most important financing.
