论企业法人登记与经营许可的分离 （硕士论文摘要） 专 业： 宪法学与行政法学 研究方向： 行政法学 企业法人登记法律制度是我国法律中的一项重要制度，它的主要目的在于信息公示，进而起到维护交易安全、增进交易效率以及提升企业信用的功能。我国现行企业登记法律制度是在计划经济体制下逐步建立起来的，采取的是企业法人资格和经营许可资格合二为一的做法，笔者称之为“一体制”。随着我国改革开放的逐步深入和市场经济进程的不断推进，“一体制”暴露出越来越多的不足之处，实务界的质疑之声也越来越多。因此，改革现行企业登记法律制度己经成为法治时代的强烈需求！ 本文首先阐述了我国企业法人登记制度的演进及现状，内容包括以下几个方面：我国企业登记法律制度的发展是伴随着社会经济发展所经历的一个不断变革的过程、当前我国与之相关的法律规定以及工商行政登记机关在登记程序、企业年检以及项目前置审批活动中的做法等，旨在对我国企业法人登记制度的沿革、发展、法律依据以及实践操作作一个大概的描述。 其次，笔者详细地从五个方面阐述了我国企业法人登记“一体制”所引发的弊端。具体包括“一体制”使前置审批制度有逻辑混乱之嫌，被吊销营业执照的企业是否具有诉讼主体资格仍然不明确，企业年检制度错位等等，旨在说明我国企业法人登记制度已经给司法和行政实践带来了很多困惑，亟待改革。 最后，笔者分析了法人登记制度与经营许可管理制度在概念、法律性质以及功能上的种种差异，指出产生一系列弊端的根本原因在于未厘清法人登记与经营许可的实质区别。进而摆明自己的中心观点：建议废除“一体制”的立法模式，建立两套相对独立的企业管理体制，即企业法人登记管理制度以及经营许可管理制度，并且提出了采取分置措施的具体建议。 【关键词】 企业法人登记 经营许可 分离 The separation of corporate registration and business license (Abstract) Mayor:Constitution and Administrative Law Specification: Administrative Law Author: Chen Jie Tutor: Zou Rong The legal system of corporate registration is important in the commercial law system.
