Asweallknow,thereisnoprecedentforforeigncompaniesandenterprisestobetheinitialpublicoffering(IPO)ofChinatoissuedAshares,ortoissueChineseDepositaryReceipts(CDR)ortoissuecross-borderETF.IamworkingfortheShanghaiStockExchange,andactasateammemberofInternationalboard,asisparticipatinginstudyingthefeasibilityofthedomesticlegalsystemforforeigncompaniestoissueIPOinChina,alsoweareparticipatingtheformulationofinternationalrulesforissuingandtheinternationalboardtradingrules.SinceChinasfinancialsecurityprovisionsofthelegalsystem,thecurrentinternationalboard-relatedbusinessesinthedevelopmentofitsimplementationhaveacertainissue.Fromoneside,Chineselegalsystemaboutimplementoninternationalboardhastobeconsiderate,ontheotherside,theregulationaboutabroadenterprisesissuingandlistingintheInternationalBoardisrequiredtoprotectourinvestorsandthecapitalmarketstability,sotheformulationoftheruleswouldbemorestringent.inMay11,2009,thesecondSino-BritishEconomicandFinancialDialoguewasheldinLondon,oneoftheresults:TheChinesesideagreestoallowqualifiedforeigncompanies(includingUKcompanies)toformintheChineseStockExchangebyissuingsharesorADRunderprudentsupervisioninaccordingtotherelatedprinciple.ShanghaisecuritiesexchangeistoworktighterwithHSBCtocarryoutthefeasibilityandinvestigationundertheinstructionofChineseSecuritiesCouncil,asistoworkoutthepossibilityofHSBCforminginChinesemarketbystudyingthecharacteristicofitperformanceinothermarketsuchasUSA,UK,HK…Here,weaimatthestudyofHSBC,forexample,globallycomparisonsthemeasuresofthematuremarkets(NewYorkStockExchange,LondonStockExchange,ParisStockExchange,theHongKongStockExchange,etc.)thatkeeptheefficientlyofthedistributionsystem,listing,corporategovernance,legalregulation,investorprotectionandotherservicesrelatedtointernationalboard,alsotrytodigoutwhetherit’sconflictwithcurrentChinassecuritieslawsornot,asmustbenotedfortheestablishmentofaninternationalboardofChina.Alsoasisproposedtoimprovethesystemforthedevelopmentofrelevantrulesandguidelines.Underthelawscomparison
