我国医药上市公司治理结构和绩效关系评价 　　摘 要 目的：提出关于改善医药行业上市公司治理结构与绩效关系的相关建议。方法：通过Excel、Stata、Spss软件对2010-2012年医药上市公司治理结构中各要素与其综合绩效之间的关系进行实证研究。结果：研究发现，医药行业上市公司国家股比例和董事会规模与公司绩效未呈现明显的相关关系，股权集中度与公司绩效呈现正相关关系；经理层薪酬与公司绩效呈现正相关关系。结论：针对公司治理结构的不同层面提出合理化建议，为医药上市公司制定发展战略和提高绩效水平提供参考。 　　关键词 医药上市公司 治理结构 绩效评价 　　中图分类号：F271 文献标识码：A 文章编号：1006-1533（2015）15-0055-04 　　Study on the relationship between governance structure and operating performance in Chinese medicine listed companies 　　ZHI Yue， QIU Jiaxue 　　（School of International Business， China Pharmaceutical University， Nanjing 211198， China） 　　ABSTRACT Objective： To provide the relevant suggestions on the improvement of the governance structure and performance for pharmaceutical industry listing corporations. Methods： The empirical research on the relationship between the various elements and their comprehensive performance in the governance structure of pharmaceutical listing corporations during 2010-2012 was carried out through Excel， Stata， SPSS softwares. Results： It was found in this study that national stock proportion and board size of the pharmaceutical industry listing corporations and their performance do not present the obvious correlation， and ownership concentration and corporate performance as well as the payment of managers and corporate performance all show positive correlation. Conclusion： Some reasonable suggestions were proposed according to the different levels of the governance structure of companies so as to provide a reference for pharmaceutical industry listing corporations to formulate their development strategy and improve their performance level. 　　KEY WORDS pharmaceutical listing corporation； governance structure； performance evaluation 　　医药行业是国民经济的重要组成部分，具有高技术、高投入、高风险和高附加值等特点。医药行业在全世界被誉为永不衰弱的朝阳行业，可持续发展性强，对世界各国经济发展都起着重要的作用。我国2005年股权分置改革以来，对上市公司实施了某些程度上的改革，解决了股权不一致的问题，使得证券市场全流通，这对于医药行业的公司治理产生了巨大的影响。对于医药上市公司的治理结构究竟怎样改善才能提升其绩效，这是急需我们去了解和验证的。本文深入研究了医药行业上市公司的治理结构和绩效关系，提出更合理的公司治理结构政策性的建议，并进一步为医药上市公司的健康发展提出合理化的建议。 　　1 研
