对关联企业垄断问题的法律研究 对关联企业垄断问题的法律研究 PAGE PAGE 2 摘 要 关联企业已成为一种普遍存在的经济现象，与单一公司相比，它更具有竞争性和规 模性，是一种理想的企业组织形态。随着世界经济一体化的发展，关联企业的数量增多， 规模扩大甚而国际化，关联企业引发的问题会日益凸显，关联企业的垄断问题也会越来 越突出。但对关联企业的反垄断法律规制，我国尚未有相关规定。因此，对关联企业的 垄断问题加以研究有着十分重要的意义。 本文通过分析比较的方法研究了美、德、日等西方发达国家有关关联企业的垄断问 题的具体制度。一方面因为这些国家的反垄断法对其他国家的法律有着重要的指导和借 鉴意义，另一方面因为这些国家对关联企业的垄断问题有着不同的解决办法，从 而有利 于我们进行比较研究，找出一个比较适合我国国情的答案。 结论和成果：对于关联企业垄断问题的法律规制，作者认为，一方面应首先加强关 联企业的立法，促进企业的集团化；另一方面，必须加强反垄断的立法,在促进企业集 中化的总体政策指导下,保障关联企业一开始就遵循公平竞争的市场规则,成为市场竞争 的促进者而不是阻碍者。因此，我国的反垄断法不应当只是一个自足的逻辑体系，而是 形成一个以反垄断法为中心,与其他法律法规相配合的完善的市场经济法律体系。 Abstract Affiliated enterprises have been a universal economic phenomenon. They are of more competitive and large scale than single companies so as to a kind ideal enterprise organic form. With the development of economic globalization, the increasing of number of affiliated enterprises and the deepening of their internationalization, affiliated enterprises bring about more and more problems and their monopoly problem will stick out as well as. But China’s law has not made stipulations on affiliated enterprises monopoly behaviors. Therefore it is of very important signification to study affiliated enterprises’ monopoly. By using the methodology of analysis and comparison, this paper studies the concrete institutes of the Western developed countries (such as America, Germany and Japan etc) that are about affiliated enterprises monopoly. For one thing, these countries’ anti–monopoly laws are very meaningful in guiding and borrowing to other countries; for another, these countries have various methods to resolve this problem, thereby help us carry out comparison and study to find out a rather fit answer to our national conditions. Conclusion and results: to regulate affiliated enterprises monopoly, in my opinion, on the one hand, first of all we should strengthen affiliated enterprises’ legislation, in order to improve enterprises concentration.
