I I 公司的社会责任 中文摘要 公司的社会责任 ——以国有企业为视角 中文摘要 摘要：公司社会责任思想形成于 20 世纪初，是对传统公司法理念提出的一个巨 大挑战。不同于传统公司法以追求股东利益最大化作为唯一目标的理念，公司社会责 任思想要求公司在谋求股东利益最大化之外，还要维护和增进其他利益相关者的利 益，即公司应当对劳动者、消费者、债权人以及社会等利益相关者负责。公司社会责 任不仅仅是一种道德责任，更是一种法律责任，通过法律对公司社会责任进行规制具 有正当性。我国《公司法》亦对此作出了明确的规定。国有企业作为国民经济的重要 组成部分，应当在承担社会责任方面发挥出表率作用。目前，由于观念、机制、体制 等因素，国有企业在承担社会责任方面仍存在不少突出问题。为强化国有企业社会责 任，有必要构建国有企业社会责任实现机制。 关键词：公司；社会责任；国有企业 作 者：袁家琳 指导老师：章正璋 II II Abstract On Social Responsibility of Corporation On Social Responsibility of Corporation ——From State-owned Enterprise’s Angle Abstract The concept of corporate social responsibility is formed at the beginning of 20th century. It is a great challenge to the traditional corporate law concept which regards pursuing profit-maximum for shareholders as its only purpose. Besides shareholders, corporate social responsibility requires corporate should also responsible for stakeholders such as workers, consumers, creditors. Corporate social responsibility is not only a sort of moral responsibility, but also a kind of legal liability. It is proper to requiring corporate responsible for stakeholders by the law. And nowadays, this concept has been specified in China Corporation Law. As an important part of the national economy, state-owned enterprises should play an exemplary role in social responsibility. At present, because of the concept, mechanism, system and other factors, the state-owned enterprises still have a lot of problems in the aspect of social responsibility. In order to strengthen the social responsibility of state-owned enterprises, it is necessary to construct the state-owned corporate social responsibility implementation mechanism.
