万方数据 万方数据 摘 要 网络团购作为一种新兴的电子商务模式，正呈现出白热化的发展态势。在第三方网络 团购中，由于团购网站的参与，使其与传统的团购模式不同，并发展出新的特点。实践中 因第三方网络团购产生的问题层出不穷，引发了众多的民事法律纠纷，其中，第三方团购 网站的违约责任的认定是实践中最为棘手的问题。本文从现实问题出发，在明确网络团购 合同性质的基础上，以团购网站的法律地位为着眼点，解决团购网站违约责任问题。 本文除去绪论，分为三个部分。文章第一部分对网络团购进行概述，将本文探讨的网 络团购界定在第三方网络团购模式中，并对第三方网络团购流程进行介绍，根据相关调查 分析了目前网络团购行业中引发团购网站违约责任的现实问题。文章的第二部分对团购网 站违约责任认定存在问题的原因从立法、行业监管以及法律定位三个方面进行了分析。本 文第三部分对团购网站违约责任的制度如何完善进行分析。在立法和行业监管上提出完善 的建议。文章在将网络团购合同定性为“新型三方合同”的基础上，对团购网站的法律地 位存在争议的学说进行了介绍和分析，并将团购网站定位为特殊的“间接代理人”，并明 确了团购网站的相关义务，为团购网站违约责任的认定及制度的完善提供基础，以期对实 践中团购网站违约责任问题的解决带来裨益。 关键词：第三方网络团购 团购网站经营者 网络团购合同 法律地位 违约责任 I ABSTRACT Group-buying online as a new mode of e-commerce is showing a white-hot development momentum. In the-third-party group-buying online, group-buying online website’s participation makes it different from the traditional pattern of group-buying, developing some new features. In practice, the third-party group-buying online products endless problems, causing numerous civil legal disputes. Among them, identifying the liability for breach of contract of group-buying website is the most difficult problem. This article embarks from the practical problems for the legal status of group-buying website as the starting point, On the basis of clearing the specific nature of the online group purchase contract，to solve the problem of third- party group-buying website’s liability for breach of contract. Besides the introduction, this paper is divided into three parts. First of all, The first part of the article to overview of online group purchase, defines the online group purchase this article discusses in the third-party online group purchase mode, and introduces the process of the third- party online group purchase. According to the related investigation, this article analyzes the realistic problems which causes the liability for breach of contract of group-buying online website in the current online group purchase industry. The second part of the article analyzes in depth the causes of the grou
