Summary Corporate governance is a high profile issues of global concern. It aims to help Corporate’s shareholders to control the operator’s supervision and balance mechanisms. At present, our country is in a transition period, most diversified geological survey corporates have the problems of operating inefficiently because of ill-formed incomplete governance structure hamper the corporates’ long-distance development. This paper attempts to take the Kate power Co., ltd in Jiangxi Province for example to analyse the Corporate governance structures to find some deep-rooted questions and trying to present the target mode of diversified geological survey corporates’ governance structures ,and finally provide the rationale of optimizing the Corporate governance structures. This paper applys essential theories of Corporate governance , uses the ways of case interview and threshold analysis on the basic of comparing many corporates’ governance models. Through the analyse of the Kate power Co., ltd’s development history, the status of the company’s governance model to affirm the existing questions including Shareholding structure is irrational,Corporate property, lackness of effective supervision and balance mechanisms, enterprises internal control and external control exist at the same time,the manager is difficult to carry out their duties and the question of incentive mechanism is not work well. On the basic of using the experience of international corporates for reference, this paper raises improved advises and designs a governance model suitable for the Kate power Co., ltd. The main ideas are adjusting the shareholding structure, diversification of investment, construction of balance mechanisms, improving the corporate governance structure, solving the interna control problems, improving the manager incentives mechanisms and constraint mechanisms. Hope that this preliminary exploration can be usefull for the Kate power Co., ltd.’s governance structure problems.
