摘 摘 要 并购是实现竞争优势在企业间的转移，企业快速成长的一种方式。但从并购 实践中得知，企业并购达到协同效应只有30％，大约有一半以失败而告终。据麦 肯锡公司研究表明，企业并购失败的根源在于企业并购后整合不到位。并购整合 是并购的关键环节，也是最复杂的环节，决定企业并购的成败。在我国国有企业 大并购的背景下，如何能使并购后的企业资源得到融合，提升企业并购成功率和 企业核心能力，是迫切需要解决的问题。 本文以提升企业核心能力为根本出发点，在研究企业并购整合策略与核心竞 争能力培育关系基础上，深入的全面分析我国企业并购整合的现状、存在问题、 影响因素，从而提出基于企业核心能力培育和提升的整合策略。首先，论述企业 并购整合理论，在理论上论述核心能力与企业并购整合的关系。其次，对我国企 业并购整合的现状、存在的问题、整合的风险和关键(人力资源、企业文化、业 务)因素进行分析。最后，根据分析结果提出相应的整合策略。对人力资源因素 采取稳定人才、培训、激励等策略能恢复员工的信任，激励员工，留住人才。对 企业文化因素整合应根据企业文化的异质性，选用适当的整合模式，实现企业文 化的融合。对业务流程整合要根据环境的变化，突出关键性环节和价值链增值。 对财务整合应以企业价值最大化为中心，选择成本最低的财务整合模式，使企业 财务目标和财务制度体系统一。 本文研究表明，企业人力资源、文化、财务、业务流程是企业核心能力的载 体，对这些因素的整合成败，决定企业的核心能力是否提升。针对这些因素所处 的内外环境不同，采取不同的整合策略，使企业资源得到融合，核心能力得到提 升。 关键词：企业并购整合策略核心能力 AbstractMA Abstract MA can bring about the shift ofadvantages for competing between enterprises． which will put the enterprises on rapid growth．It is seen from the past experience that about halfofMAlmveended upinfailure and only 30％haveachievedjoint eflKt． The reason why they had no desired result is that the integration Was not in place．The combination of MA with integration Call result in the fusion of business resources and promotion of COte competence．Hence integration is the key and also the most complicated link of MA．Then how to raise SUCceSS rate under the background of MA in Chinese state-owned entelTffiSLH3 is becoming a research project in the face of啷． T11is thesis,aiming at promoting the core competence of enterprises．makes a study ofMA and integration．Firstly the relationship between core competence and enterprises’MA and integration is elaborated．basing on the theory of M＆A and integration of enterprises．Secondly the present condition and existing problems of enterprises’MAand integration in0111country are discussed．And at the salne time the risk and main factors(including human resources，corporate culture and finance and trade flow)affecting MA and integration a∞also analyzed．Thirdly the corresponding integration tactics are provided according to the result o
