The third part discusses the special risk of the One-man Company．Firstly, the special governance system of One-Man Company exists some conflicts and problems which may damage the interest of creditors，including the property confusion and the decision confusion．Secondly, the shareholders call easily abuse the independent status or the limited liability status of the company ． It will endanger the interests of creditors and the community. Then, the author appraise the risk-control system and point out the weaknesses of our system．The regulations are too simple to solve the practical problems.
