第 PAGE 1 页 共 NUMPAGES 3 页 我国公司两权分离现状研究 摘 要：两权分离制度在我国的执行，推动了我国企业的发展，提高了我国的企业竞争力，但同时也存在很多的问题。本文首先对两权分离有基本的概述，其中包括两权分离的含义、功能、及其形式。其次开始对我国公司两权分离的发展现状进行分析，主要分为国有企业的两权分离现状与民营企业的两权分离现状两个方面进行阐述。再次，分析出了两权分离在我国现代公司运行中存在的问题，也是从国有企业与民营企业两个方面进行研究，国有企业存在的主要问题是所有权受损与经营者内外部监督功能的缺失，民营企业存在的主要问题是浓重的家族气氛，代理人不易找寻等的问题。最后，本文通过两权分离在我国现代公司运行中存在问题提出了相应的对策，对国有企业与民营企业各自存在的问题各自进行解决分析。 关键词：两权分离，现状，问题，对策 Study on Actuality of Two Rights Separation of Company in China Abstract: System of two rights separation has been in implementation of our country, it has developed of the enterprise in china, and improved competition, but also has many problems at the same time. Firstly, a basic overview on the separation in two rights in this paper includes the import, function, and their form. Secondly, it carries out analysis on development of two rights separations in Chinese companies, dividing two rights of state-owned enterprise and non-governmentally operated enterprise separates in current situation to expound. Then it analyzed out two rights separation having problem in modern Chinese companies , that two aspect carries out research from state-owned enterprise and non-governmentally operated enterprise, the chief problem where existing in state-owned enterprise is that proprietary right get damaged , the internal and external superintends of the functional has lacked with the operator. The primary problem existing in non-governmentally operated enterprise is that the dense clan atmosphere, agents are not easy to hunt and so on. Finally, the main body of a book have came up with the corresponding countermeasure by the fact that there exists the problems with two right separation in modern Chinese companies operation, each carries out in state-owned enterprise and non-governmentally operated enterprise respectively resolving.
