R. 2302, Jin Mao Tower 上海市浦东新区 88 Century Avenue 世纪大道88 号 Pudong New Area 金茂大厦2302 室 Shanghai, 200121 邮政编码：200121 Tel: 86-21 电话：86-21 Fax: 86-21 传真：86-21 office@ 经营者集中审查办法 Measures on Review of Concentrations of Undertakings 第一条/Article 1 为规范经营者集中反垄断审查工作，明确经营者集中反垄断审查程序，根据《中华人民共和国反 垄断法》（以下简称《反垄断法》），制定本办法。 These Measures are formulated in accordance with the PRC Anti-monopoly Law (hereinafter referred to as the “Anti-monopoly Law”) to regulate the anti-monopoly review on concentrations of undertakings, and to specify the procedures for the anti-monopoly review of concentrations of undertakings. 第二条/Article 2 商务部是经营者集中反垄断审查执法机构，承担受理和审查经营者集中申报的具体执法工作。 The Ministry of Commerce is the enforcement authority in charge of review of concentrations of undertakings and is responsible to accept and review the notification of concentrations of undertakings. 第三条/Article 3 在商务部立案之后、做出审查决定之前，申报人要求撤回经营者集中申报的，应当提交书面申请 并说明理由。除放弃集中交易的情形外，申报的撤回应当经商务部同意。 After the notification is accepted and filed at the Ministry of Commerce and before a decision is made, the notifying parties who request for withdrawal of a notification shall submit a written application and explain the reasons. Except that the notifying parties abandon the concentration, withdrawal of a notification shall obtain the consent of the Ministry of Commerce. 撤回经营者集中申报的，审查程序终止。商务部同意撤回申报不视为对集中的批准。 When a notification is withdrawn, the review procedure is then terminated. The consent to withdraw the notification from the Ministry of Commerce shall not be deemed as an approval on the concentration.
