From the pepective of protecting the interests of small and medium shareholde， this paper analyzes the deficiency of the legal regulation of the controlling shareholde in the company law of China， and believes that at present， there is no obligation in the company law to provide shareholde with integrity， the scope of rights of small and medium shareholde is too narrow， and the system for eliminating voting rights of shareholde is iufficient. Improving and remedying the abuse of control rights and the incompleteness of the respoibility system， and proposing to clarify the integrity obligatio of shareholde in the company law， expand the scope of rights of small and medium shareholde， apply the voting system of class shareholde， increase the content of direct shareholde’ litigation， and introduce punitive measures； the compeation system， the abuse of the typical behavior of the right to commit crimes and other perfect suggestio.
