医药企业连续并购动因及绩效研究——以上海医药为例.pdfVIP

摘 要 近年来随着我国经济高速发展，医药行业作为国民经济的重要组成部分，长 期保持较快增速，行业并购市场活跃，医药企业并购纷纷呈现连续并购趋势。与 西方发达国家类似，医药行业集中度提高是必然趋势，而连续并购是医药行业集 中度提高的有利手段；另一方面，在国家政策环境鼓舞，医药企业利用连续并购 积极进行战略部署，致力于实现全产业链布局。但由于连续并购耗费资金大、整 合难度高等特点的存在，企业的连续并购存在一定风险，连续并购会带来怎样的 绩效表现未知。因此本文选择上海医药作为代表，以上海医药2010-2018 年期间 连续并购事件为研究对象，对医药企业连续并购绩效进行探究。 本文的研究按如下展开：首先，界定本文连续并购、连续并购绩效及评价方 法等相关概念，介绍可能涉及的连续并购动因理论及连续并购绩效产生逻辑，搭 建理论框架；其次，介绍上海医药基本情况、连续并购过程，分析上海医药连续 并购动因；再次，分析连续并购动因绩效实现情况并从短期市场价值和长期财务 绩效两个维度来衡量连续并购的短、长期整体绩效；最后根据绩效分析结果验证 是否有其他动因存在。 研究结果表明通过连续并购，医药流通企业能够实现部分动因，如企业战略 并且短期内市场反应良好，但医药流通企业的连续并购从协同效果及长期绩效来 看可能表现并不乐观，并且管理层过度自信、谋求私利等其他动因并不显著影响 企业连续并购行为，可见在本案例中连续并购确为企业战略和协同效应所导致。 根据本案例连续并购存在的问题，本文从并购标的合理性、整合资源有效性两个 方面进行总结，为医药流通行业其他企业提供了一些可参考的建议和启示。 关键词：连续并购；上海医药；并购绩效；医药并购 I ABSTRACT With the rapid development of Chinas economy in recent years, the pharmaceutical industry which is an important part of the national economy, has maintained a rapid growth rate for a long time.
