原材料供货协议范本 供货协议：Supply Agreement鉴于，供货方拟向买方供应___，且WHEREAS, Supplier desires to supply _____to Buyer, and,鉴于，买方拟从供货方购置如附件A中商定的产品，〔“产品〞〕，供货方拟生产并向买方销售该等产品，且WHEREAS, Buyer desires to purchase from Supplier certain which show in attached A (the “Products〞) and Supp lier desires to manufacture and sell to Buyer such Products and,鉴于，买方和供货方理解与其各自业务有关的风险和回报，及买方对产品的需要将取决于买方的客户量需求。WHEREAS, Both Buyer and Supplier understand the relative risks and rewards associated with their respective business undertakings and that B uyer’s needs for Products will be dependant upon Buyer’s customer volume requirements.因此，基于本协议项下的许诺和承诺，买方同意购置，供货方同意向买方供应产品〔如本协议第2条所定义〕，详细条款如下所述。NOW THEREFORE: In consideration of the mutual promises and covenants set forth herein, Buyer agrees to purchase and Supplier agrees to supply Products to Buyer (as defined in Paragraph 2 herein) subject to the following terms and conditions.1. 期间，合同Term, Contract.本协议应自上述生效日起三年内有效，且可以经双方书面协议而另外续签十二〔12〕个月，附件A中另行规定的以附件A为准。本协议中的每个十二〔12〕个月的期间被称为一个“合同年〞。在本协议期间，买方将自供货方处购置产品〔如下述第2条所定义〕，供货方将在排他性的根底上根据买方对产品的要求供应产品。This Agreement will be in effect for three years from the above Effective Date and may be renewed for additional 12 month periods upon written agreement of the parties, unless otherwise specified in Schedule A.
