PAGE PAGE 19 关于具有多样性特征的董事会影响作用的探讨 摘要 本文以多元化为出发点，描述了具有多样性特征的董事会的重要性以及现状，通过对不同国家的董事会模式、组织结构、成员构成等因素的分析，探讨引入独立董事以及机构投资者的作用；并通过对典型事件的剖析，针对问题提出了相应的对策，希望通过对董事会多样性如何影响公司的探讨，为健全我国董事会多样性制度和建立综合评价体系等方面提供一些有益的思路和借鉴。 关键词：多样性特征独立董事机构投资者安然事件 A study on the influence of the board of directors with diversity characteristics Abstract Based on the diversity as the starting point, this paper describes the importance of the board of directors with the characteristics of diversity and the related status, and discuss the effect of introducing independent directors and institutional investors through the analysis about the elements of the model, the organizational structure and the member compositions of the board of directors in different countries; and through the analysis of the typical events, this paper proposes relevant countermeasures with the hope to provide some useful ideas and reference for perfecting the diversity system of board of directors in our country and establishing the comprehensive evaluation system through the discussion about how the diversity of board of directors will influence the company. Key words: Diversity Characteristics Independent directors Institutional investors Enron Event 1 前言 董事会决定着到企业的发展方向，最终关系到股东权益是否能够得以实现。 多元化特征定义为一种扩大化的择优原则，广义上，多元化可以分为人口统计型特征的多元化（可量化）和知识能力型特征的多元化（可定性而不可量化）。 人口统计型特征涵括了年纪、性别、民族、文化、信仰等等。知识能力型特征包括了文化背景、专业技能与知识、个体判断与认知、商业经验以及事业和生活经验等等。 董事会的多样性的特征，是构建在成员的多元化特征基础上的，在不同的政治、经济和文化背景下，会受到不同程度的约束和影响的，对不同类型的公司，其表现出来的影响力和决策倾向也是不一样的，从而促使形成了不同类型的董事会。 1.1选题目的及意义 1.1.1选题目的 董事会的重要职能就是要监督公司的管理运行机制，保护投资者或股东的利益，其关键在于董事会是否能够“独立”于经理层履行自己的监管职能。由于其判断力会受到自身各种特征的影响，由不同性别、民族、文化背景、职业经验、生活经历的董事组成的董事会，具备多样性的特点，可从不同的渠道获得有价值的信息，创造出新的方法，从不同的角度相对独立地思考和解决问题。现代经济研究成果普遍认为，董事会多样性是目前众多发达国家公司治理及改革创新的方向。比如麦肯锡公司搜集的在2004～2007年间的86家欧洲上市公司的相关数据，研究发现女性高管比例较高的公司业绩明显高过平均水平，资产收益率为11.4%（平均值为10.3%），股票增长率为64%（平均值为47%）；Carter等国外学者以企业资产收益率为衡量目标进行了类似的研究，数据分析表明，女性董事比例靠前的25%的企业与比例靠后的25%的企业相比较，其资产收益率要高出53%。 公司在市场经济运行中，要想达到投资者的预期效益，需要来自各个方面不同的资源供给，而董事会由于各董事的多元化特质，与公司外界建立着良好的关系，特别是其中的独立
