Chapter 17 一、Chapter Summary 1. Four elements are generally involve in the process of negotiation: enquiry, offer, counter-offer and acceptance. An enquiry is an invitation to an offer. An offer is a proposal too enter into a contract. A counter-offer is a reply to an offer that a s to, limits, or modifies materially the terms of the offer. An acceptance is an unconditional assent to an offer or an assent to an offer conditioned on only minor changes that do not affect any material terms of offer. 2. In order to constitute an offer, a proposal shoul be to one or more specific persons, sufficiently definite and indicate the intention of the offeror to be bound in case of acceptance. 3. The term of validity of an offer is the perio for acceptance. The term of validity can be expressed in the way of the latest time or a period of time. 4. An offer can be withdrawn by the offeror before or at the same time as the offer reaches the offeree. 5. An offer cannot be revoked if 1) the acceptance has been dispatched; 2) it indicates that it is irrevocable; 3) it is reasonable for the offeree to rely on the offer as being irrevocable and the offeree has acte on reliance of the offer. An offer is terminate when 1) it lapses; 2) it is rejected or declined; 3) it is legally withdrawn or revoked; 4) law is applied. 6. Acceptance is a statement or conduct by the offeree indicating assent that is communicated to the offeror. An effective acceptance must: 1) be made by the offeree; 2) conform to that of an offer;3) be made within the period of time for acceptance. 7. Generally, a late acceptance is not an effective acceptance. However, in the case of an obvious transmission delay, a late acceptance will be treate as effective an a contract conclude unless the offeror objects in a t
