WHEREAS,theSelleriswillingtosellandtheBuyeriswillingtopurchasethefollowinggoods(hereinafterreferredtoastheGoods);
Article1:DescriptionofGoods
1.1TheSellerherebyconfirmsthattheGoodsshallbeasdescribedintheattachedScheduleofGoods(hereinafterreferredtoastheSchedule),whichformsanintegralpartofthisContract.
1.2TheSellerwarrantsthattheGoodsshallcomplywiththespecifications,standards,andqualityrequirementssetforthintheSchedule.
1.3TheSellershallprovidetheBuyerwithallnecessarydocumentation,includingbutnotlimitedto,productspecifications,qualitycertificates,andsafetycertifications,uponrequest.
Article2:QuantityandQuality
2.1ThequantityoftheGoodsshallbeasspecifiedintheSchedule.
2.2ThequalityoftheGoodsshallbeasspecifiedintheScheduleandshallconformtotherelevantindustrystandardsandregulations.
2.3TheBuyershallhavetherighttoinspecttheGoodsbeforeshipmenttoensurethattheymeettheagreedqualitystandards.
Article3:PriceandPaymentTerms
3.1ThepriceoftheGoodsshallbe[PriceTerms](e.g.,FOB,CIF,etc.)perunitasspecifiedintheSchedule.
3.2ThetotalpricefortheGoodsshallbe[TotalPrice],subjectto[PaymentTerms](e.g.,30%uponorderconfirmation,60%uponshipment,and10%uponfinalacceptance).
3.3TheBuyershallmakethepaymenttotheSellersdesignatedaccountwithintheagreedtimeframe.
Article4:DeliveryandShipment
4.1TheSellershalldelivertheGoodstotheBuyerat[DeliveryAddress]onorbefore[DeliveryDate].
4.2TheSellershallberesponsibleforarrangingandpayingforthetransportationan
