Parties

ThisLimitedPartnershipAgreement(theAgreement)ismadeandenteredintoasof[InsertDate],byandbetween[InsertFullLegalNameofGeneralPartner,GP],a[InsertJurisdiction]limitedpartnership(GeneralPartner),havingitsprincipalplaceofbusinessat[InsertAddressofGP],and[InsertFullLegalNameofLimitedPartner,LP],a[InsertJurisdiction]corporation(FundCompany),havingitsprincipalplaceofbusinessat[InsertAddressofFundCompany](collectivelyreferredtoasthePartiesandindividuallyasaParty).

FundBasics

1.NameoftheFund.ThenameoftheLimitedPartnershipshallbe[InsertNameofFund,e.g.,ABCGrowthEquityFundI,L.P.](theFund).

2.TypeofFund.TheFundisa[InsertFundType,e.g.,closed-end,open-end]limitedpartnershipinvestmentvehicleorganizedunderthelawsoftheStateof[InsertStateofFormation](theGoverningState).

3.SizeoftheFund.TheinitialcommittedcapitaloftheFundis[InsertTotalSizeofFundinUSD](theTargetSize),representinga[InsertPercentage,e.g.,100%]interestinthetotalcommittedcapital.TheFundmayacceptadditionalcommitmentsfromLPs,subjecttothetermsofthisAgreement.

4.TermoftheFund.TheinitialtermoftheFundshallbe[InsertNumber]years,commencingonthedateofthefirstcapitalcontributionandendingon[InsertEndDate].TheFundmaybeextendedupontheconsentofamajorityoftheLPs,inaccordancewiththeprovisionsofthisAgreement.

5.InvestmentObjective.TheGeneralPartner,actingforthebenefitoftheLPs,shallhavetheobjectiveofachieving[InsertInvestmentObjective,e.g.,long-termcapitalappreciation]byinvestingprimarilyin[InsertInvestmentFocus,e.g.,commonequityofgrowth-orientedcompaniesinthetechnologysector].

6.RegisteredOffice.TheregisteredofficeoftheFundshallbeat[InsertRegisteredOfficeAddress].
