ThisAgreement,effectiveasof[EffectiveDate],isenteredintobetween[ProviderCompanyName],havingitsprincipalplaceofbusinessat[ProviderAddress](Provider),and[ClientCompanyName],havingitsprincipalplaceofbusinessat[ClientAddress](Client).

1.BackgroundandPurpose

WHEREAS,ClientdesirestoengageProvidertodevelopanddelivercustomizedbusinessEnglishtrainingservicestoClientsemployeestoenhancetheirprofessionalcommunicationskillsinaninternationalbusinessenvironment;and

WHEREAS,Providerhastheexpertiseandresourcestodesignandimplementsuchtrainingservices;

NOW,THEREFORE,inconsiderationofthemutualcovenantsandpromisescontainedherein,thepartiesagreeasfollows:

2.TrainingContentandScope

2.1TrainingObjectives:TheprimaryobjectiveofthetrainingistoimprovetheparticipantsproficiencyinbusinessEnglish,focusingoncommunicationskillsrequiredforinternationalbusinessmeetings,negotiations,presentations,emailcorrespondence,telephoneconversations,andcross-culturalinteractions,tailoredtothespecificneedsofClients[mentionindustry,e.g.,technology]sector.

2.2TrainingParticipants:Thetrainingshallbeprovidedto[number]employeesfromClients[mentiondepartment(s),e.g.,SalesandMarketingdepartments],identifiedbyClientandsubjecttoProvidersacceptance.ThelistofparticipantsshallbeprovidedtoProvideratleast[number]dayspriortothestartofthetraining.

2.3TrainingContent:Thecustomizedtrainingcurriculumshallinclude,butnotbelimitedto:

(a)Enhancinglisteningcomprehensionskillsinbusinesscontexts.

(b)Improvingspeakingfluencyandconfidenceinmeetingsandnegotiations.

(c)Masteringprofessionalwritingskills,includingemail,reports,andproposals.

(d)Developingpresentationtechniquesforinternationalaudiences.
