本2026年涉外保密协议（中英文版）（以下简称“本协议”）由以下双方（以下统称“双方”）基于平等自愿、诚实信用、公平互利的原则，于____年____月____日（以下简称“生效日”）签署。其中，一方为依据中华人民共和国法律设立并有效存续的法人、非法人组织或自然人（以下简称“中方”），另一方为依据中华人民共和国境外国家/地区法律设立并有效存续的法人、非法人组织或自然人（以下简称“外方”）。鉴于双方拟开展或正在开展涉外合作（包括但不限于货物进出口、技术引进与输出、服务外包、投资并购、项目合作、商务磋商等），在合作全过程中，一方需向另一方披露、提供或使另一方获知具有保密性质的信息（包括但不限于商业秘密、技术秘密、经营信息等），且该等信息的流转涉及跨国/跨境场景，面临涉外监管合规、信息安全等多重风险。为明确双方的保密权利与义务，防范信息泄露、滥用、篡改及违规跨境传输等风险，保障双方合法权益不受侵害，依据《中华人民共和国民法典》《中华人民共和国反不正当竞争法》《中华人民共和国数据安全法》《中华人民共和国个人信息保护法》及双方所在国家/地区关于保密、数据跨境传输、信息安全的相关法律法规及国际惯例，经双方友好协商，达成如下一致条款，以资共同信守。
