Parties

ThisUnderwritingAgreement(theAgreement)ismadeandenteredintoasof[Date],byandbetween[IssuerName],a[legalform]incorporatedin[Jurisdiction](Issuer),havingitsprincipalplaceofbusinessat[Address](Issuer),and[UnderwriterName],a[legalform]incorporatedin[Jurisdiction](Underwriter).

DefinitionsandInterpretations

ForthepurposesofthisAgreement,thefollowingtermsshallhavethemeaningssetforthherein:

1.1AccreditedInvestormeansanyinvestorwhomeetstherequirementssetforthintherelevantlaws,regulations,andpoliciesofthePeoplesRepublicofChinaapplicabletothepurchaseofbonds.

1.2AgreementmeansthisUnderwritingAgreementdatedasoftheEffectiveDate.

1.3ApplicableLawmeansalllaws,regulations,rules,andadministrativemeasuresofthePeoplesRepublicofChinaapplicabletotheIssuer,theUnderwriter,andtheIssuance.

1.4BondmeanstheGreenFinancialBondstobeissuedbytheIssuerpursuanttothetermsofthisAgreement,withthefollowingdetails:FaceValue[Amount],Term[Number]years,CouponRate[Percentage/Method],PaymentFrequency[e.g.,annually],IssuePrice[PercentageofFaceValue],andCurrency[e.g.,RMB].

1.5BondFilemeanstheofferingdocumentsfortheBond,includingbutnotlimitedtotheProspectusandtheIssuerInformationMemorandum.

1.6CashProceedsmeansthenetproceedsreceivedbytheIssuerfromthesaleoftheBond.

1.7ClosingDatemeansthedateonwhichtheIssuerreceivesthefullCashProceedsfromtheUnderwriter.

1.8EnvironmentalandSocialStandardsmeanstherelevantstandards,guidelines,andcriteriaforgreenprojectsrecognizedby[mentionspecificstandardbodyorregulatoryguidance,e.g.,thePeoplesBankofChina,NationalDevelopmentandReformCommission],asmaybeupdatedfromtimetotime.

1.9GreenProjectmeansaprojectthatmeetstheEnvironmentalandSocialStandardsandiseligibleforgreenfinan
