非公司制投资工具价值论??以投资人责任限制及内部治理为研究视点 论文摘要 随着改革开放市场经济的逐步确立,越来越多的投资者选择企业的形式参 与投资。在企业组织形态法定主义的语境下,法律提供的企业类型种类,决定 了投资者对投资工具选择的自由程度。由于在现实生活中,投资者的投资需求 是多元的。无限多样的投资者需求,与有限的企业类型之间,不免产生矛盾和 冲突。这一矛盾,必然会抑止投资者的投资积极性。虽然立法者可以以设置任 意性规则的方式缓解矛盾,但是更为有效的做法,应当是由法律提供更为多样 的投资工具,以供投资者选择。 本文在第一章首先讨论了研究的背景、研究的范围和相关概念的界定,指 出本文的研究对象是组织成团体的非公司制企业,以及“价值”的概念,即客 体以其属性满足主体需要的积极意义;在第二章中论述了主体的需求,即投资 者做出投资决策时所重点考虑的两个因素??投资人的责任限制、企业治理机 制的灵活程度;第三章论述客体的属性,即各种投资工具在投资人责任限制、 企业治理机制方面体现出来的特点,相关的讨论集中于合伙、普通合伙企业、 有限责任合伙企业、有限合伙企业、有限责任有限合伙企业、有限责任企业、 股份合作制企业这几种非公司制投资工具上;第四章则结合第二章和第三章讨 论的内容,分析主体的需求与客体属性的结合,即各种非公司制企业的适用情 况。文章昀终得出结论,认为各国非公司制立法的发展趋势,一是对当事人意 思自治更为尊重,二是不断减轻投资人的责任,三是鼓励中小企业的发展和民 间投资、鼓励自我创业和雇佣。而组织体法定主义决定了当事人对现有法律的 突破是极其有限的,因此应当由立法者承担起创设新的投资工具的责任。 在行文中,本文也关注各种非公司制投资工具的历史发展和演变规律,希 望对未来中国立法的趋势作一预测,以期对我国非公司制法律制度的完善提供 借鉴。 关键词:非公司制投资工具;价值;投资需求;责任限制;内部治理 1 非公司制投资工具价值论??以投资人责任限制及内部治理为研究视点 Abstract With the gradual development of market economy under the reform and opening-up policy, more and more entrepreneurs invest by setting up enterprises. In the context of numerus clausus principle of legal entity, the types of enterprise governed by statute determine how freely the investors choose the investment vehicles. The diversity of the investors’ demand unavoidably contradicts the limited types of enterprise. This contradiction inevitably suppresses the investment enthusiasm of investors.
