Abstract Firstly, this paper reviews the domestic and overseas research status on venture capital (VC). Secondly, this paper analyses successful factors of American venture capital. Further, it collects datum about VC development of USA from 1990 to 2004, and choose American VC volume and Fundraising as indexes standing for American VC scale, capital market status, technology level, macro-- economical development and capital resource. Then this paper makes a quantitative research on American VC, constructs a model, find out important two factors multilayer capital market and perfect VC support system prompting VC development of USA, and summarizes the mode of capital market orientation supported by perfect VC support system. Then, aiming at status of VC development of China and indications American VC mode gives us, this paper analyses two factorsshort of multilayer capital market and perfect VC support system, which blocking VC development of China. Finally, it makes the proposals of constructing OTC market and VC support system to accelerate VC development of our nation. Key words: USA venture cap
