浅论证券公司与客户信赖关系及其法律规制-毕业论文.docVIP

华 中 科 技 大 学 硕 士 学 位 论 文  摘  要  证券交易是证券市场上最频繁、最活跃和风险最集中的行为，也是证券立法的 重要监管内容之一。证券公司在代理客户买卖证券的过程中发生的与客户的关系， 是证券交易中最为普遍，直接牵涉客户利益的法律关系。但是这一法律关系的性质 学术界一直存在争论。客户之所以选择成为某些证券公司的客户，与其自身的偏好 和信赖有关。信赖关系是法律基于诚实鉴于信用原则，为了保护交易安全而创设的 制度。当这种信赖利益受损时，客户自然有权要求赔偿，法律则应给予积极的保护。 本文选取证券公司与客户的信赖关系及其法律规制作为研究对象，运用比较法学， 法解释学等多种方法展开研究。本文主要从以下几个方面展开讨论： 第一部分，证券公司与客户法律关系概述，介绍证券公司与客户法律关系的主 体和该法律关系的内容即证券公司和客户的权利和义务。 第二部分，对证券公司和客户法律关系性质的比较。主要分析了两大法系的有 关规定和有关学术观点。得出在我国二者的关系应主要是行纪关系。 第三部分，阐述证券公司与客户的信赖关系，让广大证券投资者自主选择、自 主决策，从而使证券公司在市场中自由发展，优胜劣汰。 第四部分，主要内容是证券公司与客户信赖关系的法律规制。主要是对证券公 司的法律规制，首先列举了证券公司和客户的失信行为，然后介绍了具体的法律规 制，最后对证券公司违背客户信赖的法律责任做一定的论述。  关键词：证券公司  客户  行纪关系 信赖关系 I 华 中 科 技 大 学 硕 士 学 位 论 文 Abstract In the security market the securities transaction is a behavior of most frequent, active and high risk, also it is one of most contents of supervision in the securities legislation. Each investor carries on each security transaction as the client is inevitably forms the legal relation in the security broker service with the Security Company. But the nature of the most universal legal relation in the security exchange is not clear, is it a broker transaction or an agency transaction and so on actually is in the argument. The main reason of the choice of the clients is relate to their own fancy and trust. Trust relationship is designed by the legislature under the principle of bona fide to ensure the security of transactions. When this kind of trust benefit suffers injury, the clients can request compensation naturally, and law should give the positive protection. In this article I want to discuss reliance relationship between the Security Company and the clients.
