中国上市公司融资行为研究 ——基于问卷调查的分析 摘要： 中国上市公司是如何进行融资的？是否存在融资偏好？公司债券融资的利 用情况如何？是否确定了“合理”的资本结构？公司治理对上市公司的融资行为 究竟有没有影响？本文试图借助问卷调查分析这一手段回答这些问题。本文研究 发现，中国上市公司的融资行为，既表现出与经典理论相符的一面，但同时又确 实表现出一些鲜明的特点，其中最为突出的便是“股权融资偏好”。之所以有着 这些特点，既有资本市场的制度背景方面的原因，也有公司治理方面的原因。 关键词：融资行为； 资本结构； 公司治理 Study on Financing Behavior of Listed Companies In China ——Analyses Based on A Questionnaire Abstract: How did the listed companies in China choice financing instruments? Did they have any preference among the financing instruments? How about their bonds issued? Whether they have had a planned “reasonable” capital structure? Did their Corporate Governance have any influence on their financing behavior? This paper tried to answer these questions by analyses based on a questionnaire. We found that some aspects of their financing behavior can be explained by financial theories, but some others can’t. The most obvious characteristic is that the listed companies strongly preferred to equity financing. As for the reasons, some are due to the institutional mechanism of the capital market in China, some are due to their Corporate Governance. Key Words: Financing Behavior / Capital Structure / Corporate Governance 中国上市公司融资行为研究 ——基于问卷调查的分析 中国上市公司的融资行为存在显著的股权融资偏好（黄少安和张岗，2001； 阎达五等，2001）。关于这一问题的一些实证研究（高晓红，2000；黄少安和张 岗，2001）发现，偏好股权融资的原因是股权融资成本偏低。事情真的就这么纯 粹吗？ 利用资本市场数据进行的实证研究确有许多优势，但其特征是并不直接观察 上市公司的“行为过程”，而是“根据资本市场运行‘结果’数据来推论上市公 司的‘行为过程’”。在做这种推论时，只有同时具备科学的理论依据和严密的逻 1 辑过程，才不至于出现偏差。而这两点有时难保同时满足。若是如此，实证研究 的数据结果即便真实可靠，但其推论也未必符合实际。为此，直接关注“行为过 程”的问卷调查分析，或许能够对上述实证研究发现起到一定的弥补或修正作用。 一、问卷调查基本情况说明
