摘 要 改革开放 30 年来，我国的经济环境发生了巨大的变化，社会主义市场经济体制逐 步建立，以公司制为主的企业法人治理结构逐步完善，企业已成为我国现代化市场经济 的主体。与此同时，我国的社会主义法制体系也已初步建立，社会主义法治逐步彰显其 先进性和科学性，企业的管理正按照法治的思维和方式探索发展之路。实践证明，以往 陈旧的管理方式已不适应现代化市场经济和法治环境，企业必须加强管理，尤其是合法、 有效地防控企业法律风险和完善企业法务管理。 既然站在了改革发展的前沿，我国企业就必须探索、寻找更为有效的发展路径，才 能取得事半功倍的效果。如何有效地实施企业法务管理和防控企业法律风险？笔者认 为，不能循规蹈矩，不能束于陈规，必须从企业内部发掘管理动力和抓手。需求，是企 业管理的根本动力和抓手。企业法务管理来源于企业法律风险防控，这说明企业自身内 部对法务管理有需求。法务管理者只有在各阶段都能梳理、找准企业的内部法律需求， 才能更为成功地实施管理，才能在企业管理的庞杂领域 “建功立业”、有为、有位，才 能从法治的层面证明，法务管理是可以为企业创造利润。笔者希望通过本文起到抛砖引 玉的作用，求得同仁的批评和共鸣。 关键词：需求；企业；风险防控；法务管理 1 Abstract In the 30 years of Reform and Opening up, China has undergone tremendous changes in the economic environment, characterized with the gradual establishment of the socialistic market economy system, the gradual improvement of corporate governance structure based on corporate system and the subject of the enterprises of our modern market economy. In the meantime, the socialist legal system in our country has initially established, the socialist rule of law gradually highlight its advancement and scientificness and enterprises are exploring the way of development in accordance with the thoughts of rule of law and methods. The practice has proved that the old management mode fails to adapt to the modern market economy and legal environment, and the enterprises must strengthen the management, especially the legitimate and effective prevention and control of enterprise legal risks and improvement of the enterprise legal management. Since standing in the forefront of reform and development, Chinas enterprises must explore and seek more effective development way, and can get twofold results with half the effort.
