哲学；(五)经济民主的管理观念。 第二部分从比较法的角度，归纳比较各主要国家的公司机关权力 构造制度，并预测和归纳其未来发展趋势和我国的取向。通过比较 得出的基本结论是：现代公司治理结构的两大法系尽管存在显著差 异，英美法系实行“单层制”，股东大会只设董事会作为业务执行机 构；而大陆法系，以德国为代表，实行“双层制”，即股东大会下设 董事会和监事会，监事会作为董事会的垂直领导机关；而日本则在 股东大会下设置董事会和监事会平行的两机关。三大模式尽管在结 构上差异较大，但在治理效果上均有异曲同工之妙，英美法系由于 具有完善的外部监管机制而弥补了不设监事会之不足，大陆法系则 由于监事会的坚强有力，使三机关和谐发展，形成了整体合力。但 由于现代股份公司已向股权高度分散方向发展。经营者控制已成为 备国普遍面临的难题，针对此新的问题．各阖公司法不同程度的采 取了加强对经营者监督、完善股东大会的决策和监督功能，提升监 事会的职权等诸项完善公司治理结构的措施。这一部分应该说是全 文的“他山之石”，是第三部分的立论之基。 第三部分是全文的中心和主旨，通过前面二部分的论述和研究， 水到渠成的分析我国公司治理结构的现状和不足，尤其对我国公司 法的董事会和监事会的改革和完善提出了对策和建议。具体思路有 三：一是减持国有股，从战略上完善股权结构；二是完善股东大会 的民主管理机能，防止股东大会“形骸化”；三是强化监事会职权和 在董事会中引入独立董事制度，彻底扭转对经营者监督乏力的状况。 关键词：公司治理结构 法律精神 比较研究 实证分析 Abstract Company law,as the main body of law market，is the most important component of China’S legal system．Furthermore，the power structure of corporate organ(also called the structure of legal person)is the core content and the most important part of company law,for the abilities of one country’S creativity and of one company’S competition directly depend on the scientific structure of corporate organ’S power．So as the process of globe--economy unionization becomes faster and faster and the competitive pressure of the world increasingly enlarges，main capitalism countries are all respectively revising their company laws 110 as to enhance their own companlu’ competitive power．In fact，the topic concerning structure of corporate governance is not only old--—-fashioned but also abounds in challenges．What’S more，the topic is Ion}一term title．The study related to the corporate governance will never exhaust，but is constantly developing in new content．Considering that company laws in all countries are constantly renovating and continuously mixing together,this paper probes into legal spirits of power structures of corporate organs from macroscopic angle and it discusses and induces the characteristics about structure of company’S organization and developing tendency of the company’S organization of different countries by
